App Blender will provide comprehensive software development services as detailed in the proposal, including design, development, and implementation of mobile applications, web portals, admin panels, and back-end systems tailored to meet the client’s specifications.
A down payment of 25% is required upon signing the agreement to secure project commencement. The remainder of the payment is due as outlined in the agreed-upon project milestones, with the final payment due upon project completion. Payments are due within 7 days of invoicing. Late payments may incur a charge of 1.5% interest per month.
The project will commence upon receipt of the initial deposit. The expected project duration and completion date will be specified in the client agreement, contingent upon timely client feedback and approvals.
App Blender requires client approval at key milestones throughout the development process. Clients are entitled to a predefined number of revisions for each deliverable, included in the project cost. Additional revisions will incur charges at an agreed-upon hourly rate.
Upon full payment, the client will own the rights to the final software and associated documentation. All drafts, code, and documents remain the property of App Blender unless otherwise negotiated.
Both parties agree to maintain confidentiality regarding proprietary information unless disclosure is legally mandated.
Either party may terminate the agreement with a 30-day written notice. In the event of cancellation by the client, the initial 25% deposit is non-refundable to cover resource allocation, environment setup, and initial development costs.
App Blender offers a warranty period of 6 months post-deployment, during which any defects or bugs identified will be rectified at no additional cost. Post-warranty support can be provided under a separate maintenance agreement, covering updates, enhancements, and technical support.
Any changes to the original project scope must be documented and approved by both parties. Change requests may affect the project timeline and cost, which will be communicated and agreed upon before implementation.
App Blender's liability for any claims arising out of this agreement, whether in contract, tort, or otherwise, shall not exceed the total amount paid by the client for the services provided.
App Blender shall not be liable for delays or failures in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, acts of war, terrorism, labor disputes, or governmental actions.
Any disputes arising from this agreement shall be resolved through amicable negotiation. If unresolved, the disputes will be referred to mediation or arbitration as per the laws governing the agreement. The venue and jurisdiction for any legal proceedings will be [specified location].
App Blender commits to delivering a high-quality product that meets the agreed specifications and industry standards. Regular quality assurance testing will be conducted throughout the development process to ensure deliverables are free from defects.
The client agrees to provide all necessary information, resources, and feedback in a timely manner to facilitate the project’s progress. Delays in client responses or provision of materials may result in adjustments to the project timeline and additional costs.
App Blender will provide comprehensive documentation and training sessions to ensure the client’s team can effectively use and manage the delivered software.
Any third-party services or software required for the project will be identified and agreed upon in advance. The client will be responsible for any associated costs unless otherwise specified.
During the term of this agreement and for a period of [X] years thereafter, neither party shall solicit or hire employees of the other party without prior written consent.
Both parties agree to comply with all applicable laws, regulations, and standards relevant to the performance of their obligations under this agreement.
The client agrees to indemnify and hold harmless App Blender against any claims, damages, or expenses arising from the client’s use of the delivered software, provided it is used as intended and within the agreed specifications.
If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
